SELL-SIDE M&A ADVISORY

DIFFERENTIATED APPROACH DRIVES EXCEPTIONAL RESULTS

My sell-side process is designed to drive competition, maximize value, and get deals done with the right buyers under the right terms.

Successful transactions typically have three key factors that drive success.

1. Buyers Must Get Excited About the Opportunity

Tell the Right Story. Prove the Past. Showcase the Potential.
Buyers don’t just buy financials—they buy into a vision. I develop a clear, compelling, and data-backed narrative that connects the business’s history to its future potential. It’s about helping buyers see the opportunity—and believe in it.

2. Create a Competitive Market to Drive Value

The Right Buyers. A Lot of Them. A Tight Process.
I don’t wait for inbound interest. I drive it. Through broad, targeted outreach to tens of thousands of qualified buyers, I create a competitive environment that maximizes leverage. I keep timelines aligned, buyer activity inside the process, and negotiations competitive—so no one’s bidding against themselves.

3. Maintain Momentum and Build Trust

Run Fast, Stay Hands-On, and Keep the Deal Moving.
Technology helps me run an efficient, organized process—but deals still close because of trust, relationships, and responsiveness. I stay personally involved from start to finish to ensure every step is handled with urgency and care. Momentum matters—and I make sure it never gets lost.

Every successful sale starts well before the business hits the market. I begin with focused pre-sale planning - getting clear on the owner's goals, motivations, and deal priorities. But that’s just the start. I dive deep into the business itself to identify its strengths, clean up any red flags, and position the opportunity in the best possible light. In restoration, this means understanding your revenue mix, your backlog, your payor cycles, your CAT exposure - everything that shapes how a buyer sees the durability and scalability of the business.

This upfront work sets the stage for what matters most: attracting the right buyers and creating a competitive process.

I don’t just list the business and wait. I proactively build a curated buyer pool that’s tailored to restoration. That includes financial sponsors with experience in the space, consolidators building regional platforms, and strategic players that see operational or geographic synergies. I combine this with my existing buyer network and marketing across multiple premium business listing platforms specifically geared toward sophisticated buyers who are actively seeking established, cash-flowing service businesses in the lower middle market. Through targeted outreach, upwards of tens of thousands of potential buyers, and a structured process that keeps them on a timeline, I generate real competition. This creates leverage. And leverage drives value.

I don’t put an asking price on the business. I let the market compete for it. In restoration, where valuation can vary based on a number of business and industry specific factors, pricing too early can limit upside. My goal is to make the process and competition I create drive the price. Unlike many firms that rely on outdated, manual buyer tracking, I run a tech-enabled process that keeps every buyer touchpoint sharp and responsive. But this isn’t just automation - this allows me to focus and drive competition amongst the top buyers. It’s high-touch, hands-on execution. I stay in the process. I make the buyer calls. I keep the momentum. That’s how I deliver outsized results for my clients and why restoration business owners trust me to get their deal done right.

PREMIUM SERVICE FOR SERIOUS SELLERS

I work exclusively with business owners who are committed to a successful transaction. My focus is on companies generating $500K to $10M of EBITDA, with transaction values typically ranging from $2M to over $100M. I operate within a narrow segment of the lower middle market, primarily in restoration and related services, because this is where I have deep expertise, strong buyer relationships, and a proven track record of delivering exceptional outcomes.

This is not a volume-based advisory service. I take on a limited number of clients at a time to ensure each engagement receives my full attention and strategic guidance. My process is designed to attract the right buyers, create competition, and command premium valuations.

I charge a monthly work fee that is fully credited against the success fee at closing. This ensures alignment, signals commitment from both sides, and allows me to remain highly selective in who I work with. My agreements are cancelable with 30 days’ notice, offering flexibility while maintaining accountability and momentum.
